These Terms of Service govern the relationship between Upper Canada Waterproofing & Contracting Ltd. and its clients. By requesting an estimate or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms. These terms are intended to protect both parties and ensure a clear understanding of expectations.

1. Acceptance of Terms

By engaging the services of Upper Canada Waterproofing & Contracting Ltd. ("UCW", "we", "our", or "us"), you ("Client", "you") agree to be bound by these Terms of Service. These terms apply to all estimates, contracts, and work performed by UCW. If you do not agree to these terms, please do not engage our services.

2. Services Provided

UCW provides basement waterproofing, foundation repair, drainage system installation, sump pump installation, crack injection, and related contracting services to residential and commercial clients in Eastern Ontario. The specific scope of work for each project will be outlined in a written estimate or contract provided prior to commencement of work.

3. Estimates & Quotes

All estimates provided by UCW are free of charge and are valid for 30 days from the date of issue unless otherwise stated. Estimates are based on visible conditions at the time of inspection. If unforeseen conditions are discovered during work (e.g., hidden structural damage, unexpected water sources), UCW will notify the Client and provide a revised estimate before proceeding with additional work.

4. Payment Terms

Payment terms will be outlined in the written contract for each project. Unless otherwise agreed in writing, a deposit may be required prior to scheduling work. The remaining balance is due upon completion of the project. UCW accepts payment by cash, cheque, or e-transfer. Overdue accounts may be subject to interest charges at a rate of 2% per month (24% per annum).

5. Warranty

UCW offers a transferable lifetime warranty on waterproofing installations, subject to the following conditions: (a) the warranty covers defects in workmanship and materials installed by UCW; (b) the warranty does not cover damage caused by structural settlement, acts of nature, improper maintenance, or modifications made by parties other than UCW; (c) the warranty is transferable to subsequent property owners upon written notification to UCW; (d) warranty claims must be submitted in writing and UCW will inspect the property within a reasonable timeframe. Specific warranty terms will be detailed in the project contract.

6. Client Responsibilities

The Client agrees to: (a) provide UCW with safe and reasonable access to the work area; (b) remove personal belongings, furniture, and valuables from the work area prior to commencement; (c) ensure that utilities (water, electricity) are available as required; (d) notify UCW of any known hazards, underground utilities, or special conditions on the property; (e) obtain any necessary permits or approvals required by local authorities, unless otherwise agreed in writing.

7. Limitation of Liability

UCW's liability for any claim arising from services provided shall not exceed the total amount paid by the Client for the specific work giving rise to the claim. UCW shall not be liable for indirect, incidental, consequential, or punitive damages. UCW is not responsible for pre-existing conditions, damage caused by third parties, or damage resulting from events beyond our reasonable control including but not limited to floods, earthquakes, or extreme weather events.

8. Cancellation & Rescheduling

Clients may cancel or reschedule scheduled work by providing at least 48 hours' written notice. Cancellations with less than 48 hours' notice may result in a cancellation fee to cover mobilization costs. UCW reserves the right to reschedule work due to weather conditions, equipment availability, or other circumstances beyond our control. We will provide reasonable notice of any rescheduling.

9. Privacy

UCW collects personal information (name, address, contact details) solely for the purpose of providing our services, communicating with clients, and fulfilling our contractual obligations. We do not sell or share personal information with third parties except as required by law. By engaging our services, you consent to UCW retaining your contact information for warranty and service follow-up purposes.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ontario.

11. Changes to Terms

UCW reserves the right to update these Terms of Service at any time. Updated terms will be posted on our website. Continued engagement of our services following any changes constitutes acceptance of the revised terms. For projects already under contract, the terms in effect at the time of signing shall apply.
